1.    Terms of Use

1.1    By accessing, browsing or using www.ousa.org.nz (Website) you have read, understood and accept these Terms of Use and are bound by them.  Please review the Terms of Use and OUSA's Privacy Policy carefully prior to viewing the Website.  If you do not agree with the Terms of Use you should not use the Website.  
1.2    Additional terms may apply to specific goods or services provided through or on the Website, as indicated on the Website.  If there is any inconsistency between the Terms of Use and the additional terms the additional terms will prevail.  
1.3    In these Terms of Use:
(a)    "OUSA", "us", "we" and "our" mean the Otago University Students Association Incorporated, its officers, employees and agents; and 
(b)    "you" and "your" are references to you.  

2.    Amendment to Terms of Use

2.1    OUSA reserves the right to revise and update these Terms of Use, from time to time, by making any changes immediately without notifying you other than by publishing the amended Terms of Use on the Website.  Any revised terms will take effect when they are posted on the Website.  Your continued use and access to the Website after any changes to the Terms of Use will mean you accept these changes.

3.1    The information, services, goods and materials contained on the Website, including (without limitation) all text, graphics, and links are provided, to the maximum extent permitted by law, with no warranty or representation, express or implied. In addition, there is no warranty or representation that the information accessible on this Website is accurate, complete or current.
3.2    Links on our Website may direct you to third party websites which are subject to their own terms and conditions.  Your use of those websites are solely at your own risk and expense.  OUSA accepts not responsibility and makes no claims, representations or warranties with regards to the use, quality, content, nature or reliability of any third party website.  

4.    Privacy

4.1    We have adopted a Privacy Policy that you should refer to to fully understand how we collect and use your information in accordance with the principles of the Privacy Act 1993.  You can access this Privacy Policy at https://www.ousa.org.nz/privacy-policy.

5.1    We (and, where applicable, our licensors and suppliers) own all copyright and other intellectual property rights in the Website. All rights are reserved. You must not otherwise copy, reproduce, distribute or use (including for any commercial purposes) any part of, or content on, the Website without our prior written consent.  

6.    Website use

6.1    In using the Website you agree to comply with applicable laws and regulations and not to infringe the rights of OUSA or anyone else or restrict or inhibit anyone's (including OUSA) use and enjoyment of the Website, including:
(a)    uploading or posting any content on the Website which in OUSA's view is illegal, obscene, defamatory, threatening, infringing of intellectual rights, invasive of privacy or otherwise objectionable; or
(b)    bullying, intimidating or harassing any user or member of the Website.  

7.    Indemnity

7.1    You agree to indemnify OUSA, its officers, employees, agents, affiliates, suppliers and representatives against any and all claims, damages, losses, costs, and expenses (including but not limited to lawyers’ fees) resulting from any violation of these Terms of Use or any activity related the use of the Website (including negligent or wrongful conduct) by you or any other person accessing the Website that you are responsible for.

8.    Limitation of liability

8.1    OUSA will not be liable to you for any damages, losses (including, without limitation loss of profits, business or data), costs or expenses of any kind, which arise out of, or result from, any use of, or inability to use, this Website or any other website that is linked to this Website.

9.    General

9.1    Any failure to exercise or enforce any right available to us under these Terms of Use does not constitute a waiver of those rights.  
9.2    These Terms of Use, our Privacy Policy and any additional terms referenced on our Website constitute our entire agreement and supersede all prior agreements, arrangements, understandings and representations (whether oral or written) given or made between us relating to the subject matter of these Terms of Use.  
9.3    If any provision of these Terms of Use is held invalid or unenforceable or in breach of any act of Parliament, the validity of the remainder of these Terms of Use will not be affected and remain in full force and affect.  
9.4    The Website and these Terms of Use are governed by the laws in New Zealand.
